It is important to consider the acquisition in terms of the legal characterization of the ownership, not just the business.
Nevertheless, the decision as to the manner of acquiring the business can have significant ramifications for the client, both in terms of the immediate costs incurred and in the ongoing operations of the business."
Mr. Parmar will discuss, as time permits: Asset vs. Share Sale, Letters of Intent, Confidentiality issues, Conveyancing Costs, Liabilities, Warranties and Indemnities, Employees, Goodwill, GST, Escrow Agreements, Restrictive Covenants, Security and Commercial financing vs. Vendor financing.

Gaurav Parmar is a Partner with the law firm of Heather Sadler Jenkins LLP. Mr. Parmar was called as a practicing member of the Law Society of British Columbia in 2004. In addition to his Juris Doctor degree he holds a Master of Business Administration and a Bachelor of Business Administration degree. Mr. Parmar's practice includes, but is not limited, to all areas of business law, corporate law, commercial law, real estate law, employment law, creditors remedies, and wills and estates. Mr. Parmar was born and raised in Prince George. He is active in the community. Mr. Parmar was appointed by an Order in Council to the Board of Directors of the Northern Health Authority in April 2014. Furthermore, Mr. Parmar served on the Board of Directors of the Prince George Chamber of Commerce for 5 years and was elected as the President during the Chamber's Centennial year in 2011. As a Past President, Mr. Parmar currently contributes to the Board of Governors for the Prince George Chamber of Commerce. In addition, Mr. Parmar has instructed in the School of Business at the University of Northern British Columbia and at the College of New Caledonia. He enjoys sports and has coached High School Basketball and currently serves as the Commissioner of the Prince George Men's Basketball Association.
